Glo Mobile, NCC, Megatech Sued Over Alleged Breach of Contract, Unpaid $9.5m Consultancy Fee
Telecommunications operator Glo Mobile Limited, the Nigerian Communications Commission (NCC) and Megatech Engineering Limited have been dragged before the Federal High Court in Abuja over an alleged breach of contract involving an outstanding consultancy fee of USD 9,578,947.
The suit was instituted by Mosakab Nigeria Limited and its promoter, Mashood Mustapha, who are demanding over N20 billion in damages over what they describe as the unlawful breach of a contractual agreement tied to the sale and allocation of a 2.6 GHz spectrum licence.
Filed as FHC/ABJ/CS/1534/2024, the plaintiffs are asking the court to void the sale of the 2.6 GHz Spectrum Licence by Megatech to Glo Mobile, alleging that the transaction was tainted by fraud and illegality.
Megatech Engineering Limited, Glo Mobile and the NCC are listed as 1st to 3rd defendants in the suit filed by George Ibrahim, SAN, of the Ogwu James Onoja (SAN) Chambers.
The plaintiffs seek an order compelling Megatech to pay them the USD 10 million consultancy fee agreed upon in a contract executed on June 29, 2017—of which only USD 421,052 has been paid, leaving an outstanding balance of USD 9,578,947.
They also want the court to compel the NCC to revoke the 2.6 GHz Spectrum Licence issued to Megatech in March 2020, which they claim was secured through their facilitation efforts.
In addition, they are seeking:
N5 billion for breach of contract
N10 billion as general damages
An order directing Megatech to allot 5–10% of its outstanding shares to the second plaintiff, in line with the 2017 consultancy agreement
According to their statement of claim of N50 million as cost of litigation, that Megatech engaged Mosakab Nigeria Limited in 2017 as consultants to facilitate the procurement of the 2.5/2.6 GHz spectrum for national operations. Following multiple meetings with relevant government agencies, the NCC offered Megatech a 40 MHz TDD licence in the 2.6 GHz band for a five-year period on March 26, 2020.

The plaintiffs said they facilitated Megatech’s subsequent arrangement to share the spectrum with Glo Mobile, deploying resources totalling USD 250,000. However, the dispute allegedly escalated when Megatech failed to honour the agreed USD 10 million consultancy fee before proceeding to sell its interest to Glo Mobile.
Mosakab and Mustapha are asking the court for a declaration affirming that they fulfilled their contractual obligations and are entitled to full payment of the outstanding balance.
Justice Mohammed Garba Umar has fixed March 3, 2026 for the hearing of the case.
